COMMENT/QUESTION from you: --" Aqua Sun has had most of its Board of Directors sign a document allowing them to pay their own maintenance fees and taxes over a period of 12 months, yet each owner must pay when due, according to the Director of Operations. She said she has a CAM license and it is legal. How is that legal in a turned over resort? Why doesn't the timeshare governing authority do something about it? If I want to rent my unit, they tell me I must pay my fees first, but they don't have to. They tell me they can lock me out, but they don't lock themselves out or pay a lockout fee. Why not? Do all developers work this way? Who can look into this?" There seems to have been an internal struggle going on in Aqua Sun for quite some time, with control of the management of the resorts at stake. We've received quite a bit of mail concerning Aqua Sun's efforts to keep the Boards from changing to different management companies and all kinds of underhanded tactics have been alluded to. But since we haven't heard Aqua Sun's side of the story we can't really give an opinion on the affair. Anyone?

  • COMMENT from you May 21: --" It appears peculiar to me that Aqua Sun has never stepped up [to] the plate to defend themselves. It would only take a Board member to make a formal complaint, yet out of fear of losing perceived control, they don't. In one of their Kissimmee properties, is renting to the Astros for rates lower than any owner can get any worse than not locking themselves out? They give the Astros a smaller rate than any owner would pay, include those proceeds in the rental pool, which makes the disbursements smaller for each owner because of the dilution. Was it mentioned they still take their complete percentage as the agent? Is it any worse than putting a new manager in at that property without a CAM license? The Maverick has been doing concrete restoration for years now, without consideration to the owners of the surrounding Aqua Sun properties, they place the Maverick owners there. Sometimes an exchange fee is charged, which Aqua Sun gets, other times they just put them there. In essence, the property takes on wear and tear, the resort incurs the expense, but where are these guests being put? The Maverick does not pay rent to those resorts for housing its owners. The resorts get occupants, yet they are placed in owners units that have not paid their fees. No wonder each resort is suffering. For all the Aqua Sun units, were all the fees paid by year's end in 1999, or were timesheets produced to offset the fees? Lets ask Rambold, CFO (gone), Barker, Director (gone), Upthagrove, Director (gone), Reep, Director (gone), Utter, Exchange (gone), James Moore and company, auditor??? Think they left because they were asked to sign a timesheet? Just curious if that would be any worse."

We've heard from some people who said that during a recent morning meeting at Spinnaker Myrtle Beach they were told by the PD that Spinnaker is in the process of purchasing Ellington at Wachesaw East at Murrell's Inlet, that it is to be a joint venture between the Taylor clan and Blaine Liljenquist and the acquisition is being handled by the Floyd Law Firm in Surfside Beach, S.C. They were also told Spinnaker will be selling at Ellington by June 15.

Well, Floyd Law Firm will neither confirm nor deny. But Festiva Resorts, LLC, who took over the sales and marketing of the property from Sunterra, maintains that they have an " ironclad" contract with the Prossers at Ellington at Wachesaw East, a contract that was in fact reviewed very recently. There is no other contract with another group and no one else besides Festiva will be selling there on June 15.

  • COMMENT from you May 19: --" Spinnaker told us the same thing last year, and they've been telling us that they've got new inventory here there and everywhere all the time, like every couple of months ad nauseum. So far none of it has come true, so I wouldn't believe anything they say until it's a done deal if I were you."
  • AND May 20: --" Spinnaker in Branson started the same 'type' of rumor. It was only to pick up morale, in a sad effort, I think. The sales people and tours are so cramped into the sales center, that the sales/admin started complaining and started showing less production. So, in an effort to quiet them, the management started spouting off about buying an empty theatre (the Lowe's family theatre) to move everyone over, so that there would be more room and we could haul more tours. That was almost a year ago. What a crock!!!!! Makes you think, though, doesn't it."
  • AND May 21: --" Every large acquisition does not happen. Real Estate agents show property to principals, and rumors fly. An attorney draws an offer, and the next thing you know, managers are asked to confirm or deny. All I can say is that those developers in Branson who do not rely on outside tour sources that are less reliable, will probably have a good season." By the way, we are told that Spinnaker in Branson has just added 4000 ft to the sales facility and is averaging about $1 mil per week. True? Not?

The season is about on in Branson, Missouri, and we have a few updates on things there:

Fairfield Branson is having a hard time keeping their personnel this year, according to our snooping around. Seems the front line " is being jipped" by the in-house and Discovery departments to the point that the average sales associate is not making any money and they're starting to feel they are working the other departments.... What does this mean? More reps jumping ship than usual.

Sunterra is still closed. We'd bet it's probably for sale, too.

Spinnaker is doing well, boasting of having the biggest front line in Branson. Says one source asked about it, " ...sure Mr. Abbott does.. he spins reps like McDonald's spins hamburgers. It's cost effective and looks good to the owners." Rumor has it they are about to run dry on reps in the Branson market and will soon have to recruit from outside...

Lantern Bay Resort, an II resort located on Tablerock Lake is reported to be having all kinds of trouble with their POA and the new developers Dusty(?) and Lowell Ewall. Seems the POA president Richard Kessell is fighting for control of the resort and it's causing the sales to plummet. Some are saying it's a direct sabotage by Kessel of the new developers. They say Richard announced at ARDA that he is the owner when in fact he is not. Apparently this is something the Court is soon to decide, and it should prove to be really interesting. Said one fascinated onlooker to the situation: " II should jump in and help protect their interest in this resort before it's to late. I think you will hear more about this... stay tuned."

Surrey Vacation Resorts is doing fine from what we hear. We are told, with a wink and a smile, that Fairfield is laying off starting the rumors about the resort this year... Tony Hughes, former DOS at Grandvista, is now at the Surrey, his third track in the month of May if our information is correct. Folks are saying the Golden Boy is having a little trouble finding his feet since he left Grandvista. Stuff happens...

The French Quarter... some say it is being purchased by Epic? ...hmmmmmm

  • COMMENT from you May 18: --" I thought that Spinnaker was buying French Quarter Resort in Branson, so how is Epic also buying it?" It's all just rumor at this point, nothing you should take to the bank. Maybe no one is buying it...?

Paradise Point is said to be (still) dead in the water... Epic bought the inventory there, but nothing much is moving... We hear the same is true of Big Cedar Wilderness Club seems they are selling-- but not what was expected. Jay Finley is sales manager at Big Cedar, with Don Duenes running the sales line. Still, it's early days yet-- not even Memorial Day weekend yet-- maybe things will get moving properly once the season swings fully into gear.

Those REHASH TOURS are getting old aren't they? Literally and figuratively.

Word is that Equivest Myrtle Beach has a new management team for the fourth time this year. The sales force was pushing for one of their own, Richard Anderson, to become the new director of sales. That didn't happen, but no one has yet told us who the new DOS actually is...

  • Thank you all-- maybe we've got it straight now. Gordon Brookes is the new PD and Ron Garrett is the new DOS. Both apparently were at Equivest St. Thomas, Bluebeard's Castle, where they are reported to have done a hell of a job.

RCI Points: The last edition of The Shadow's newletter addressed specific issues about RCI Points. There are more issues of course, which The Shadow did not get into with that particular newsletter but which might show up in future ones. Meanwhile, you have been asking us a lot of questions. We sent some specific questions to RCI, both so we would not mis-state things and to give them the opportunity to address the issues up front. They are in the process of going through the questions to properly answer them, and as soon as we receive word from them we'll publish it all here. So check back often. While they work on the questions we asked, they have sent us a press release about RCI Points that you might want to peruse.

In the meantime it is our understanding that the states of North Carolina, South Carolina, Florida and Hawaii now have open inquiry files into the nature of the Points program. Is it an exchange program or an actual timeshare product? What about disclosure statements and the actual contracts that consumers and resorts sign? How are consumers protected? How can Fairfield's FairShare Plus and RCI Points be properly reconciled or integrated? Etc. These are just some of the issues being addressed by these states.

Commenting on several issues that are being investigated by North Carolina, B. M. Brogden, of the legal staff at the North Carolina Real Estate Commission, says: " As you can see, the developments in this matter make resolution of the inquiry a moving target that gets further away instead of closer."

As for consumer protection, The Shadow has said it many times and we'll repeat it here: If it isn't in the contract, it doesn't exist.

  • COMMENT from you May 19: --" As your readers range from Resort Level sales and management staff to upper level management, RCI Points personnel to the Real Estate Commission employees for quite a number of states, and many people in between, and, since excerpts from previous The Street articles are being used by competing resorts to " kick" RCI Points affiliated resorts sales, most importantly mine, it is important that all sides of the issues be addressed. As the author of the original letter to our RE Commission to add the RCI Points system to our timeshare plan, it is important to be clear that the review (not the investigation) of RCI Points by certain states' real estate commissions is not to determine whether or not it is legal, but whether or not RCI/Cendant should register it as a timeshare product with these states commissions. Should the commissions decide it is a timeshare product and that it requires registration, I would like to think that Cendant Corp. with a market captilization of $15,054,264,720 (fifteen billion and change) would want to be in compliance and register the product. Companies like HGVC, Sunterra and Fairfield have done it and registration is not that difficult nor is it particulary costly. That being said, I am not sure what the big deal is, whether a timeshare owner trades their week traditionally for another week, or, trades it in point value (daily) increments assigned to the deeded week they own, it still boils down to an exchange. No one buys points from RCI, they buy weeks from the developer just like they always have and their week has an exchange value and that's it." The Street: To say that no one buys points from RCI is, while perhaps technically correct, disingenuous and it boils down to a whole lot more than merely whether it is an exchange or a product. There are a lot of complex issues involved, not the least of which is the program's affect on the resale market (it would essentially eliminate it) and the matter of consumer protection. As the contract now stands, the consumer gives everything to RCI and in return RCI gives the consumer whatever it decides to, with minimal guarantees in favor of the consumer (Read the contract). There are, in addition, all those extra little charges for things that members don't find out about until later (folks from the former RCI Europe points plan-- who used to pay one fee that covered everything-- are not too happy about this), and the fact that should you decide to sell your week your RCI Points are not transferrable unless the person who buys is already a Points member. There is a plethora of concerns being expressed both by industry people and consumers. It will take time to shake it all out. See also a short Letter to the Editor for another take on RCI Points. Speaking of Fairfield, folks have been keeping an eye on any changes that may take place since Cendant closed on Fairfield April 2 (sure you have, and so have we). If what we hear is true there are going to be some major changes in the commission structure for Fairfield sales reps. Says one such: --" If anyone knows now please let us all know. When I hear I will let you know." That's what we like. Cooperation, for the greater education of us all.

Meanwhile, the Shari Levitin Group has been forced to file a civil action against Shelley Prpich, of British Columbia, for allegedly making copies of their training audiocassettes and distributing them without permission. Mmmm. Naughty, if true, and not a smart move to hijack someone else's work. It's called copyright infringement. It's against the law.

COMMENT from you: --" Re: meeting with State of Florida (see last week's Street Talk, at the top of the page), concerning reserves and commissions- bottom line is no one with the R.E. Division can help. Our only avenue to recover funds is the Dept. of Labor.. that's right, we are not protected against the bad guys we are on our own.We need a union!!!" Quite a few of you have had success in the courts on those two issues, but really-- you shouldn't have to resort to those measures to get money owed to you or to have the right to work where you choose, should you?!

MPTV? Yeah, we know we've been hard on them from time to time, but from time to time they've deserved it. Still, ya have to hold a certain admiration for people who've hung in there for such a long time, overcoming adversity time after time, and are still in there slugging it out come rain or shine. They've been real busy the last many months, registering new Nevada corporations and such. If persistence, staying power, cunning and pure unadulterated stubborness have anything to do with things, MPTV just might surprise everyone yet. They have kept their eyes on the prize. Maybe the rest of us should, too.

We'd also like to know, and so would many of our readers, about other minorities in positions from sales manager on up to the top. Any African Americans in positions of authority in the TS biz? Hispanics? etc.

Getting BIGGER

    Rocky Point, for the uninitiated, is Puerto Penasco in northwest Mexico, not far from the Arizona border, where Mayan Palace is in the process of developing yet another magnificent resort. Brims Sinclair has been lusting after that resort for a long time from what we hear. This is going to be a huge resort with a pool even bigger than the ones Vidafel/Mayan Palace already have at their other resorts in Mexico (Vallarta and Acapulco, plus the resort in Mazatlan). We were told at ARDA that the Rocky Point resort is still quite a ways off and that the company is currently putting more emphasis on the Cancun property, but who knows? Mayan is one of the best companies to sell for in Mexico and one of the best to buy from. The program is outstanding, the resorts are killer, but the real power is in the documents-- everything is there, for those with the talent to discover it. And there are some extremely talented people working there... Developer Daniel Chavez is a very very smart man.
  • In case you missed it in Peter Shield's column, congratulations are in order to The Black Bros., owners of the Casablanca Resort Casino and Vacation Club in Mesquite NV on the acquisition last week of the Si Redd’s Oasis Casino and Grand Destinations Vacation Club. The Grand Destinations sales line there has been closed for over a year and will now fall under the direction of Gerry Ransdell, who directs the Casablanca operations and sales at Paradise Canyon Vacation Club, all in Mesquite.
  • Marriott's has opened a sales office on the third floor of the Waikiki Shopping Plaza on Kalakaua Ave. in, yes, beautiful downtown Waikiki. They've done a very nice job on the place, prettied it up real good. Word is they'll be selling Maui from that office, and in a year or two will start selling the new Kauai property and the Ko Olina on Oahu. What? No presales??? This is a rough location for a sales office, though, regardless of how pretty it is. None of the businesses on that floor have ever had an easy time making a living. The Street sauntered up just for a look-see and since there was not another warm body on the floor, got jumped on by sales reps who didn't look like they'd seen a tour in a while. The Street lied, pretended to be a tourist, and got the heck out of there with wallet intact. Whew. That was close. We'll be sending someone back for an official look-around and let you know more details.
    • COMMENT from you May 21: --" Marriott has been open for about a week in Waikiki, so the tours and marketing locations are just now coming on line. Marriott is already selling Waiohai, Kauai and Maui from all it's Hawaiian sales offices. They will also be doing presales of Ko Olina shortly. This is only the first of many sales offices on Oahu. Be patient and don't jump to conclusions - Marriott is only just awakening on Oahu." Glad to hear that all the Marriott resorts in the islands will shortly be available for sale. Ko Olina is a pretty exciting project...
  • According to the Financial Times online edition, Bass plc may be looking to purchase Wyndham International Inc., operator of the tony Wyndham hotel chain, for about $4 billion. That's billion, with a " B" . New York-based Apollo Investment Fund owns more than 30 percent of Wyndham, buying in when it was trading at less than $10 per share. It's now down to around $2 per share, and Apollo is apparently not very happy with its investment.
  • WorldMark's Bison Ranch in Arizona has moved its availability up to May 25, 2001. They'll be having a Grand Opening Celebration on Memorial Day Weekend. Another of those underserved destinations that Trendwest is so expert at sniffing out and then laying claim to.
  • Did you know that PHH Mortgage Services, a wholly owned indirect subsidiary of Cendant Corporation, is the fourth largest retail mortgage originator in the country?
Getting smaller...
  • Someone wants to know --" what rumors are there on the future of the 4 Sunterra-owned Embassy Vacation Resorts? Are they among the resorts being sold?" Could be, but you must remember that at least the two resorts in Hawaii (Kauai and Maui) are not owned outright by Sunterra. They are partnerships, with Sunterra doing the sales and marketing and owning a minority interest in the properties. We understand that these resorts are doing quite well, thank you very much. Anyone have info on the possible sale of any of these properties? OR will Hilton, who owns the Embassy name, be rebranding them as Hilton resorts within the next few months???

IN EUROPE and BEYOND:   
According to Thai banking and hotel sources, it looks like Starwood Hotels & Resorts Worldwide will acquire a 44% stake in Thailand's Royal Orchid Hotel group. According to a recent statement by Royal Orchid, Starwood has called three of Royal Orchid's major shareholders to discuss buying a combined 44% stake, following a preliminary agreement with them in February. The three shareholders are Ital-Thai Holding, Michigan Investment Ltd and Hongkong Land.

If this goes through per the February agreement, it will probably mean that a rival offer for Royal Orchid by MBK Property-- which already owns 25% of the company-- will not be successful, even though the rival offer is higher than Starwood's. Starwood already manages the Royal Orchid hotels through its Sheraton Overseas Management unit.

Those in the know have been watching Orchid/Starwood, wondering if Starwood will introduce vacation ownership at any of those beautiful properties.

People on the Move:   

  • The newest rumor says that according to an internal company email making the rounds, Sunterra will soon have a new COO. We have asked for confirmation, we do know who it is, and as soon as there is official word we'll tell you about it. UPDATE May 21: See? The press release is out and the new appointee is indeed Andy Gennuso. Gennuso, who is highly regarded in the industry, was previously at the helm of Sunterra for a short time last year as COO. Prior to being COO, he was the vice president for Sunterra's western division, which had performed significantly better than most of Sunterra. Most recently Gennuso has been the head of his own company, WestPac Resort Group. It is not known at this time what affect his ascension to the Sunterra throne will have on WestPac. At least Sunterra finally has someone at the helm who understands the nuts and bolts of the industry, which is a nice change.

    Also announced today was the appointment of Ross Altman as Sunterra's General Counsel as of April 23. Mr. Altman was the former Senior Vice President, General Counsel and Secretary of Beloit Corporation, a global equipment manufacturer and EPC contractor of pulp and paper plants. Previously, Mr. Altman was a partner in the Chicago office of the law firm of Rudnick & Wolfe (now Piper Marbury Rudnick & Wolfe), where he chaired the firm's construction law practice group.

  • Congratulations to Paul Praver as the new General Sales Manager at the Hanalei Bay Resort off-site office on Maui! " Good to have you back on island!" says the off-site team. " Your presence has been most welcomed and the sales stats show it!" The Hanalei Bay Resort on Kauai is one of Quintus Resorts' properties, little but lovely.
  • As part of his new team at Shell's Peacock Suites in Anaheim, California, PD Steven Ginsburg has Jim Olsen slated as the first new manager on board. Ginsburg has recruited Olsen to act as his new Director of Sales. Is Peacock Suites on its way back up?
  • Mickey Sechriest has been promoted to Director of Sales at Epic's Island Links Resort at Hilton Head. Congratulations and wishes for good luck from everyone...
  • Rumor is that Carl Gatti, VP of Recruiting and Training for Fairfield, is leaving. True? Not?
  • For the person looking for Marty Yancy in the Lost and Found, Marty is currently with Bluegreen in Myrtle Beach. He has resigned effective May 19th to accept a position with Fairfield Orlando. Say his friends from Bluegreen, " Marty will be greatly missed by all here at Bluegreen Myrtle Beach. Good Luck Marty!"
