DEERFIELD BEACH, FL -- EXA International, Inc. (OTC Pink Sheets: EXAI), announced that its subsidiary, CruiseUnit Project, Ltd., has signed contracts to acquire the SS Rembrandt, formerly Holland America Line's flagship, Rotterdam V. Delivery will be mid-May, 2002. The passenger staterooms will be offered as timeshare units marketed under the name Cruiseshares(TM).

Stanley Priskie, EXA's president comments, ``The Rembrandt, as she'll remain named, has been restored to her former luxurious condition having a warm, comfortable and elegant ambiance with amazing artwork and craftsmanship everywhere you look. The size of most cabins is larger than those found on today's mega-cruise ships. Unlike most cruise ships, the lighted closet space is more than ample, some staterooms even have walk-ins. She will be a floating resort with marvelous public spaces where Cruiseshare owners can enjoy the casual and unhurried atmosphere like that of any first class vacation destination.''

Priskie continued, ``We are both proud and excited to be associated with a ship of this caliber and intend to continue the tradition of excellence that made the vessel the pride of the Holland America fleet and cruise ship of the year. The cost of purchasing a Cruiseshares unit is less than a land based timeshare. The annual maintenance fee includes gourmet dining, entertainment and all ship board amenities, unlike a timeshare. This makes the annual cost of a Cruiseshare considerably less than a comparable cruise- or traditional timeshare- even after amortizing the initial purchase price.''

Cruiseshares is the marriage of timesharing and cruising, providing never ending cruise vacations to exciting ports of call worldwide.
