Harrah's Entertainment Completes Consent to Players Debt

LAS VEGAS, NV -- Harrah's Entertainment, Inc. (NYSE: HET) announced yesterday the successful completion of the consent solicitation by Harrah's Operating Company, Inc. to an amendment to the Indenture governing Players International, Inc.'s 10 7/8% Senior Notes due 2005. Harrah's Operating Company, Inc. accepted all properly executed consents pursuant to the Consent Solicitation Statement dated December 15, 1999.

As of 5 p.m. EST, on December 30, 1999, the expiration date of the consent solicitation, Harrah's Operating Company, Inc. had received consents representing $148,468,000 aggregate principal amount of Notes representing 99% of the Notes outstanding. Payment of a consent fee to all holders of Notes that gave their consents will be made when Harrah's Entertainment completes its acquisition of Players International.

Morgan Stanley Dean Witter acted as the solicitation agent. MacKenzie Partners, Inc. was the information agent for the consent solicitation.

Harrah's Entertainment initiated the consent in conjunction with its previously announced agreement to acquire Players International. Harrah's Entertainment's acquisition of Players International is expected to close in early 2000 subject to the fulfillment of closing conditions including regulatory approvals. The companies recently received approval from gaming regulators in Missouri.
