TransAmerican Completes Acquisition of Shaden Al-Khaleej Est.

Press Release: TransAmerican Holdings, Inc.
August 22, 2002
BEVERLY HILLS, CA -- TransAmerican Holdings, Inc. (OTCBB:TAHI) Chairman and CEO, Najib Choufani, announced Aug. 15 the acquisition of 51% of Shaden Al-Khaleej Est., of Riyadh, K.S.A. Shaden is a leading Middle Eastern firm whose major activities are Construction, Architectural design, related Communications, Decorative Stamped Concrete applications and specialized interior design and furnishings which are targeted to both commercial and high-end residential projects.

TransAmerican, because of the diversification of Shaden, has now entered into all of the broader aspects of the construction industry. The combined expertise of the newly merged companies will cover the financing of projects and the complete construction and/or renovation of large commercial projects including the interior design and the build out and installation of the related communication systems.

All of the Key Management and Personnel of Shaden will continue in their present capacities. Based on Shaden's past and ongoing successful operations and their current slate of projects there is an increased demand for expansion capital. The merger of the companies was of mutual advantage. TransAmerican will fund the expansion capital needed by Shaden to keep abreast of the demand for new hotel and resort construction in Beirut. TAHI's management anticipates that this will lead to significant corporate growth and future positive reports for their shareholders.
